SIMKON DEALERSHIP AGREEMENT
Parties:
This agreement is made between Simkon (hereinafter referred to as the “Company”) and ………………………… (hereinafter referred to as the “Dealer”), who wishes to become an authorized distributor of the Company’s products.
1. Subject of the Agreement:
This agreement sets forth the terms and conditions under which the Dealer is authorized to purchase and resell mobile phone accessories supplied by the Company on a wholesale basis.
2. Dealership Rights and Authority:
2.1. The Company grants the Dealer the right to sell its products within a designated region.
2.2. The Dealer may not transfer the dealership rights or appoint sub-dealers without prior written approval of the Company.
2.3. The Dealer may use the Company's brand name and logos only in accordance with the Company’s branding guidelines and prior approval.
3. Orders and Delivery:
3.1. The Dealer shall place orders via the system designated by the Company.
3.2. The Company will deliver the products as soon as possible, depending on stock availability and logistics conditions.
3.3. Deliveries may be made via freight collect shipping or the Company’s contracted logistics provider.
4. Payment Terms:
4.1. Orders shall be paid in advance or in installments, subject to the Company’s approval.
4.2. Legal interest may be applied to overdue payments.
4.3. Payments shall be made via bank transfer.
5. Pricing Policy and Discounts:
5.1. The Company reserves the right to change its prices without prior notice.
5.2. Campaigns, promotions, and special discounts are subject to the Company’s discretion.
6. Term and Termination:
6.1. This agreement shall remain in effect for 1 (one) year from the date of signing.
6.2. Either party may terminate the agreement with 15 days’ written notice.
6.3. The agreement may be terminated immediately in the event of a breach of obligations by either party.
7. Confidentiality:
Both parties agree to keep all trade secrets and customer information obtained through this agreement strictly confidential and not disclose them to third parties.
8. Dispute Resolution:
Any disputes arising from this agreement shall be settled by the competent courts and enforcement offices of Konya, Turkey.
9. Miscellaneous:
9.1. This agreement is executed in two copies and has been read and signed by both parties.
9.2. The agreement shall enter into force on the date it is signed by the parties.
